These Terms form a binding agreement between you and NyFTee Original LLC. Read them carefully. Section 20 contains an individual arbitration agreement and class-action waiver, subject to a 30-day opt-out and mandatory rights that cannot lawfully be waived.
1. Who We Are and What These Terms Cover
You do not need a new Terms of Service for each Game Mode. A Game Mode may publish concise gameplay rules, but those rules do not replace this platform-wide agreement.
Pink Slip Arcade is one connected interactive platform. Its website, account system, economy, marketplace, applications, digital assets, events, and all current or future games are collectively the Platform. Street Heat, Passive Lanes, Street Story, and every other playable experience are Game Modes of that Platform, not separate services.
The Platform is operated by NyFTee Original LLC, located at 11 E. Orange Grove Rd., Tucson, Arizona 85704, United States. In these Terms, "Pink Slip Arcade," "PSA," "Company," "we," "us," and "our" refer to NyFTee Original LLC. "You" means the individual accepting these Terms.
These Terms apply whenever you visit, create an account, connect a wallet, play, purchase, mint, earn, claim, transfer, list, trade, communicate, compete, or otherwise use any part of the Platform. Mode-specific instructions, scoring systems, event cards, collection pages, and technical rules are incorporated only to supply operational details.
2. Acceptance and Contract Hierarchy
You accept these Terms by clicking an acceptance control, creating or using an account, connecting a wallet after being presented with these Terms, or using the Platform after an effective update. If you do not agree, do not use the Platform.
The following documents are incorporated into these Terms: the EULA; Privacy Policy; Cookie Policy; Web3, Digital Asset and Play-to-Earn Terms; NFT License; Competition and Rewards Rules; Community Standards and Fair Play Policy; Purchase and Refund Policy; and Copyright/DMCA Policy. If terms conflict, a signed written agreement controls first, then an Event Card solely for event-specific facts, then the specialized policy for its subject, then these Terms.
3. Eligibility and Geographic Availability
You must be at least 18 years old and legally capable of entering a contract. The Platform is not directed to minors, and minors may not create accounts or use any feature.
The Platform is intended to be reachable worldwide where lawful, but internet access or access to the Base network does not establish legal eligibility. You may use the Platform only where its features are lawful for you and where Company may lawfully provide them.
- You are not located in, ordinarily resident in, or acting from a jurisdiction subject to applicable comprehensive sanctions or a jurisdiction Company blocks for legal or risk reasons.
- You are not identified on an applicable sanctions, denied-person, or restricted-party list and are not owned or controlled by such a person.
- Your use does not violate export controls, financial-services rules, gaming or gambling laws, consumer law, tax law, or any other applicable law.
- Company may require identity, age, location, sanctions, tax, or eligibility verification before or after allowing access to particular features.
4. Accounts, Credentials, and Wallets
Provide accurate information, keep it current, and maintain only accounts you are authorized to control. You are responsible for activity under your credentials and connected wallets unless applicable law provides otherwise. Notify us promptly of suspected compromise.
Never share passwords, recovery codes, private keys, seed phrases, authentication codes, or remote-control access. Company will never ask for a seed phrase or private key. A blockchain address may be public and is not proof that a person is legally entitled to an account.
We may limit accounts, require reauthentication, delay a transaction, or temporarily restrict features to investigate fraud, security events, sanctions, payment disputes, cheating, or ownership.
5. Platform Access and Limited License
Subject to these Terms, Company grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful entertainment and permitted gameplay. The EULA supplies additional software-license conditions.
Company and its licensors retain all right, title, and interest in the Platform, game systems, software, audiovisual materials, characters, lore, brands, interfaces, databases, and other content, except for rights expressly granted in the NFT License or a separate written license.
6. Game Modes, Rules, Balance, and Availability
Game Modes may have different objectives, controls, scoring, progression, matchmaking, rewards, eligibility, equipment limits, and seasons. We may balance, patch, add, remove, suspend, reset, or retire gameplay features when reasonably necessary for security, fairness, law, technical integrity, or the health of the Platform economy.
Mode Rules and Event Cards may change operational details without creating a new platform contract. A material change that affects purchased rights, dispute terms, privacy, or legal obligations will be handled under the update provisions of the relevant policy and applicable law.
7. Virtual Items and Digital Assets
The Platform may include off-chain virtual items, on-chain digital assets, NFTs, tokens, rewards, licenses, consumables, access rights, and cosmetics. Legal ownership, intellectual-property rights, transferability, utility, redemption, and refund treatment differ by asset and are governed by the Web3 Terms, NFT License, Purchase and Refund Policy, and the applicable item disclosure.
Marketing expressions such as "own," "earn," or "play-to-earn" do not promise profit, appreciation, liquidity, continuous utility, or fiat redemption. No item gives equity, debt, voting rights in Company, dividends, revenue share, or a claim on Company assets unless a separate legally compliant written instrument expressly says so.
8. Purchases and Payments
Prices, taxes, fees, payment methods, delivery timing, and material restrictions will be displayed at or before purchase. You authorize Company and its payment providers to charge the selected method. You are responsible for legally imposed taxes and blockchain fees unless stated otherwise.
Digital purchases may be final once delivered, consumed, minted, claimed, or transmitted, subject to the Purchase and Refund Policy and non-waivable consumer rights. Do not initiate a chargeback for a valid purchase merely because you changed your mind or an asset's market value changed.
9. User Content and Feedback
You retain rights you hold in content you submit. You grant Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, adapt for technical display, distribute, and display that content only as needed to operate, secure, moderate, promote, and improve the Platform. For public posts, highlights, usernames, and gameplay clips, the license lasts while the content is available and for reasonable backups, legal records, and already-created promotional materials.
You represent that you have the necessary rights and that the content complies with the Community Standards. Feedback and ideas may be used without restriction or compensation, but Company does not acquire ownership of your pre-existing intellectual property merely because you give feedback.
10. Community, Fair Play, and Prohibited Conduct
You must follow the Community Standards and Fair Play Policy. Prohibited conduct includes cheating, bots, unauthorized automation, exploiting defects, match fixing, multi-account abuse, harassment, doxxing, impersonation, scams, unauthorized commercial activity, wallet manipulation, wash trading, market manipulation, money laundering, and attempts to bypass security or eligibility controls.
Do not access source code, systems, accounts, wallets, or data without authorization; interfere with service; distribute malware; scrape protected data; or use the Platform to violate another person's rights. Good-faith security reports sent to legal@psrgame.com will be evaluated separately from abuse.
11. Competitions, Rewards, and Promotions
All races, brackets, leaderboards, challenges, drops, giveaways, and reward programs are subject to the Competition and Rewards Rules plus an Event Card when applicable. Server records control unless a verified error is found.
No feature constitutes gambling or wagering unless Company expressly identifies it as lawfully offered in your jurisdiction. Off-platform bets, side wagers, and match-fixing arrangements are prohibited. Chance-based promotions must provide a no-purchase method of entry where required.
12. Third-Party Services
The Platform may interoperate with wallets, Base, payment processors, marketplaces, hosting providers, identity or sanctions vendors, social networks, and other third parties. Their terms and privacy practices apply independently. Company does not control decentralized networks or third-party services and is not responsible for their acts, outages, insolvency, security, or changes, except where law imposes responsibility on Company.
13. Moderation, Investigations, and Enforcement
We may review reports, telemetry, public blockchain data, transaction patterns, and gameplay records to enforce these Terms. Measures may include warnings, content removal, reward reversal before final settlement, matchmaking limits, feature restrictions, transaction holds where technically possible, account suspension, or termination.
Enforcement will be proportionate where practicable. You may appeal through the process in the Community Standards. We may preserve evidence, cooperate with lawful requests, and refer suspected crimes or security threats to appropriate authorities.
14. Suspension, Termination, and Asset Consequences
You may stop using the Platform and request account closure. Company may suspend or terminate access for material or repeated breach, fraud, cheating, security risk, legal requirement, nonpayment, or danger to users or the Platform. Immediate action may occur where delay would create risk.
Termination ends Platform licenses and may end access to off-chain items and gameplay utility. A self-custodied blockchain asset may remain at its address, but Company may lawfully block that asset or wallet from Platform features. Company cannot reverse or retrieve a completed public-chain transfer. Sections intended by nature to survive termination remain effective.
15. Updates to the Platform and These Terms
We may update the Platform and these Terms. We will post an updated date and provide additional notice for material changes as required by law. Material changes apply prospectively after notice, except an immediate change may be necessary for security, fraud prevention, or legal compliance.
If you do not accept a material update, stop using the affected services before it takes effect. A change to arbitration will not retroactively alter a dispute already properly noticed unless both sides agree.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." COMPANY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING.
WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE SOFTWARE, CONTINUOUS GAMEPLAY UTILITY, MATCHMAKING, ASSET VALUE, LIQUIDITY, REWARDS, BLOCKCHAIN FINALITY, OR THAT A DIGITAL ASSET WILL REMAIN ACCESSIBLE OR LAWFUL IN EVERY JURISDICTION. THESE DISCLAIMERS DO NOT EXCLUDE WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR LOSSES CAUSED BY WALLET COMPROMISE, MARKET MOVEMENT, NETWORK FAILURE, USER ERROR, OR THIRD-PARTY SERVICES.
THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE PLATFORM WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID DIRECTLY TO COMPANY FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING CERTAIN FRAUD, WILLFUL MISCONDUCT, PERSONAL INJURY, OR STATUTORY CONSUMER RIGHTS.
18. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold Company and its affiliates harmless from third-party claims and reasonable costs arising from your unlawful conduct, your infringement of another's rights, your User Content, or your material breach. This duty does not apply to the extent a claim was caused by Company's own negligence or misconduct, and consumer rights remain unaffected.
19. Informal Dispute Resolution
Before filing arbitration or suit, send a signed, individualized notice to legal@psrgame.com and by mail to NyFTee Original LLC, Attn: Legal, 11 E. Orange Grove Rd., Tucson, Arizona 85704, United States. State your name, account identifier, wallet address if relevant, facts, requested relief, and contact information. The parties will attempt in good faith to resolve the dispute for 30 days. Limitation periods are tolled during that period where permitted.
20. Individual Arbitration and Class-Action Waiver
Except for qualifying small-claims matters, claims for public injunctive relief that applicable law requires a court to decide, intellectual-property misuse, or a party's request for emergency relief, any dispute arising from the Platform or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect.
The Federal Arbitration Act governs this section. Hearings may occur by video, telephone, documents, or in Pima County, Arizona, unless consumer law requires another location. Company will pay fees it is required to pay under the AAA Consumer Rules. The arbitrator may award the same individual relief a court could award and will issue a reasoned decision.
YOU AND COMPANY WAIVE JURY TRIAL AND AGREE TO BRING CLAIMS ONLY INDIVIDUALLY, NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, EXCEPT WHERE THAT WAIVER IS UNENFORCEABLE. If this individual-action requirement is finally found unenforceable for a particular claim or remedy, that portion will be decided by a court after arbitrable issues are completed.
You may opt out of arbitration by emailing legal@psrgame.com within 30 days after first accepting these Terms. Include your full name, account email, postal address, and a clear statement that you opt out. Opting out does not affect access and does not opt you out of any prior valid arbitration agreement.
21. Governing Law and Courts
Arizona law governs, without regard to conflict-of-law rules, except the Federal Arbitration Act governs arbitration. For claims not subject to arbitration, the parties consent to the state and federal courts located in Pima County, Arizona. Mandatory laws and courts available to consumers in their home jurisdiction remain available to the extent they cannot lawfully be waived.
22. General Terms
These Terms and incorporated policies are the entire agreement about the Platform unless a signed agreement says otherwise. If a provision is unenforceable, it will be narrowed or severed while the remainder continues. No waiver is continuing. You may not assign these Terms without consent; Company may assign them with the business or assets, subject to law. Headings are for convenience. Electronic notices and records satisfy writing requirements where lawful. English controls, subject to mandatory local-language rights.
